With over 35 years of experience, Marc has addressed any issue from starting a business, company or joint venture, scaling it up, structuring the equity, mezzanine and loan financing, elaborating shareholder agreements dealing with corporate governance, provisions on stand-still, tag-along, drag-along, forced exit, (stock) option rights, etc., negotiating management and services agreements, issuing legal opinions and providing recurrent corporate housekeeping. 

Marc brought to a close countless share and assets deals, with their wide range of preliminary and ancillary aspects such as NDAs, LOIs, due diligence reviews, vendor loans, re-investment schemes. He  is accustomed with acting for either the buyer, the seller or the investor, often in a multinational context.   

Marc assists, drafts and negotiates in Dutch, French and English.

• Assistance in structuring the financing and the multinational ownership of a startup in the biotechnology sector;

• Assisting a private investment company in taking a stake in a venture fund with a portfolio of early stage health-tech investments in several jurisdictions;

• Assisting the family owners in the sale to a foreign buyer of their company providing organic certification in the sale to a foreign buyer;

• Assisting a fledgling entrepreneur in the takeover of the local plant of a US Fortune 500 company in the electronic components and computer sector (plant’s sector: refurbishment of end-of-live IT devices);

• Assisting a local independent music label in elaborating a strategic and long term alliance with a US major;

• Assisting a social entrepreneur in the incremental transfer of his startup to a large industrial group (startup’s sector: development and marketing of an internet sales platform) with appropriate transitional shareholder and services arrangements;

• Recurrent assistance of a fledgling renewable energy service provider in its scale-up and successive funding rounds, corporate governance issues and set-up of an employee stock-option plan;

• Assistance of an entrepreneur in transitioning from a purely NGO set-up to a dual structure with B-Corp certified social enterprises in Belgium and Africa;

• Assistance of an independent Belgian music publisher in divesting an international catalog of copyrights to a US music publishing house;

• Assistance in the sale of a local company active in the industrial internet of things (IIoT) sector to a Swedish listed group, with partial reinvestment and assorted shareholder arrangements.
